Descriptif du poste


 
  • Activity monitoring and operational management.
  • Provide the legal secretariat of Zayo Group (organisation of the General Meeting, drafting of the minutes of the General Meeting, approval of the accounts, record-keeping, incorporation of companies, and amendment of the Articles of Association) in collaboration with the Administrative and Financial Department.
  • Manage formalities related to corporate law (legal notices, amendments to the registry, etc.)
  • Verify and validate customer and supplier contracts concerning the general terms and conditions of sale.
  • Ensure the administrative follow-up of customer and supplier contracts (renewals, amendments and terminations.)
  • Participate and/or lead the negotiation of supplier contracts.
  • Ensure compliance with administrative and security regulations for new sites (leases, insurance, C.N.I.L.)
  • Participate in the development of purchasing and expenditure commitment procedures.
  • Participate in restructuring operations (mergers, partial contributions of assets, creation of entities, analysis, drafting of deeds, etc.)
  • Monitor the group's commercial leases.
  • Manage the group's insurance contracts.
  • Monitor the group's litigation files and manage the relationship with the various advisors and service providers.
  • Ensure legal monitoring in corporate law.
  • Monitor the strategic files of the Executive Management.
  • Participate in strategic negotiations with partners in agreement with management. Drafting of legal documents, letters of intent, and other contracts.
  • Ensure the monitoring of legislation and regulations relating to the world of telecommunications and the Internet. 

 
REPORTING AND COMMUNICATION

  • Coordinate business with the auditor and the chartered accountant currently in charge of the company's accounting and legal affairs.
  • Manage the interface with external advisors (lawyers, experts, etc.)
  • Regularly report on current cases to Executive Management.
  • Represent the company at inter-operator meetings and meetings with regulatory authorities
