Descriptif du poste

The Global Paralegal and Corporate Secretarial Expert reports to the Deputy Group General Counsel (Corporate Legal) and will be integrated in the Global Legal team.

Supporting the team in paralegal matters with the Corporate, Treasury, Tax and Finance functions. You will also interact with Regional Legal managers.

You will have the opportunity to bring your own expertise in those topics by the right methodical approach, and by partnering with many stakeholders within the company.

Your Key Accountabilities :

  • Provide corporate secretarial services for and assist the Deputy Group General Counsel / Corporate Legal with the equity transfer process of the Global Head Office entities including:

Tracking and auditing the share register,

Reviewing transfer documentation and corporate authorizations,

Preparing letters authorizing share transfers.

  • Assist the Deputy Group General Counsel / Corporate Legal with board meetings preparations,
  • Support the tax and treasury functions with intercompany transactions such as:


Alterations to capital structure and corporate reorganizations,

Incorporations, dissolutions, liquidations and mergers,

Entity rationalization, including drafting documents and resolutions related thereto.

  • Draft intercompany loan agreements, intra group services agreements, clearing house agreements and amendments thereto,
  • Provide documents and information in response to “know your client” and “ultimate beneficial ownership” requests,
  • Maintain and manage the CEVA Group’s corporate entity organizational structure chart and country organizational structure charts,
  • Maintain and manage the CEVA trademarks.

Profil recherché

  • Graduated in a License degree or master 1 in law,
  • Experience from 5 years or 10 years mandatory,
  • Experience in corporate functions environment,
  • Ability to draft and comprehend legal documents in English,
  • Ability to review and comprehend entity organizational documents.
  • Fluent in English mandatory
